Terms of Service

These terms govern your use of Kalibrate and its related services (the “Service”). Kalibrate is a product of Kaplex Industries Inc. (“Kaplex”, “we”, “us”), a company incorporated in British Columbia, Canada (incorporation no. BC1599302), of 212–1939 Lee Avenue, Victoria, BC V8R 4W9, Canada. By using the Service, you agree to these terms. If you don’t agree, please don’t use the Service.

What Kalibrate is

Kalibrate is quoting software for contractors. It reads the invoices and cost information you provide to build a price book, and helps you produce quotes for your customers. Kalibrate is a tool to support your pricing decisions — the numbers you send to a customer, and the commitments you make to them, are yours.

Your account

You are responsible for the accounts and credentials you use to access the Service and for the activity under them. Keep your access secure, give us accurate information, and tell us promptly if you believe your account has been compromised. You must be old enough to form a binding contract where you live to use the Service.

Your data stays yours

You keep all ownership of the invoices, cost data, price book, quotes, and customer details you enter or upload (“Your Data”). We claim no ownership of it. You grant Kaplex a limited license to store and process Your Data only to operate the Service for you — for example, to read an invoice and build your price book, or to generate a quote. That license ends when you delete the data or close your account, except for copies required by law or held briefly in routine backups.

Your Data is private to you. We do not share your pricing, cost book, or customer details with other Kalibrate users or with your competitors, and we do not sell it. You can export Your Data at any time.

Customer details you enter

When you add a customer’s contact details to prepare a quote, you confirm you have a legitimate reason to hold that information and that you’ll handle it responsibly. You are the party responsible to your customers for how their information is used; Kaplex processes it on your behalf to provide the Service.

Our materials

The Service itself — our software, interfaces, branding, and the technology behind Kalibrate — belongs to Kaplex. We grant you a limited, non-exclusive, non-transferable right to use it while these terms are in effect. Everything not expressly granted to you is reserved.

Acceptable use

You agree to use Kalibrate only for lawful business purposes, to enter only data you have the right to use, and not to misuse the Service — no attempts to break, overload, reverse-engineer, or gain unauthorized access to it, and no scraping or reselling of the Service. We may suspend or end access for anyone who misuses the Service.

Fees & subscription

Kalibrate is offered on paid plans. The price, billing period, setup fees, and what’s included are set out when you sign up or in a separate written agreement. Unless stated otherwise, fees are payable in advance and are non-refundable except where required by law. Subscriptions renew for the same period unless cancelled before the renewal date, and we’ll give you reasonable notice of any change to recurring fees. If a plan includes a price lock, its terms are those stated when you signed up.

Third-party services

Kalibrate relies on third parties to work — our hosting and infrastructure providers, and, where a plan involves payment, a third-party payment processor. We don’t control those services, and their availability and policies can change. We’re not responsible for a third party’s acts, omissions, or outages.

Not professional advice; no guarantee

Kalibrate helps you organize your own costs and prepare quotes. It does not provide financial, accounting, legal, or estimating advice, and a price or quote it helps produce is your figure, not ours. We do not guarantee that any quote will be accurate, profitable, accepted, or complete — you are responsible for reviewing every number before you rely on it or send it to a customer.

Disclaimers

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we make no warranty of any kind — express or implied — about the Service, including no warranty of accuracy, uninterrupted availability, merchantability, or fitness for a particular purpose. Data read from an uploaded invoice may contain errors; you are responsible for confirming it.

Limitation of liability

To the fullest extent permitted by law, Kaplex is not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profit, revenue, savings, data, or goodwill, arising from your use of the Service — even if we were told such damages were possible. This includes losses arising from a quote or price prepared with Kalibrate. Our total liability for any claim connected to the Service is limited to the amount you paid us for the Service in the twelve months before the claim arose. Nothing in these terms limits any liability that cannot lawfully be limited.

Termination

You may stop using Kalibrate and close your account at any time, and export Your Data on the way out. We may suspend or end your access if you breach these terms or if we need to for legal, security, or operational reasons. On termination, your right to use the Service ends; the sections that by their nature should survive — ownership, disclaimers, limitation of liability, and governing law — continue to apply.

Changes

We may update these terms. When we make a material change, we’ll update the date above and, where reasonable, tell you. Continuing to use the Service after a change means you accept the updated terms.
